End User License Agreement (EULA)

1. Grant of License

Greg Martins Oji MD Inc ("Licensor") grants you ("Licensee") a limited, non-exclusive, non-transferable license to use the KlockinTeam software, including associated client apps and web interfaces ("Software"), in accordance with the terms of this agreement.

2. Permitted Uses

You may use the Software for the following purposes:

• Time tracking and timesheet management for legitimate business purposes
• Employee scheduling and work hour monitoring
• Generating payroll reports and labor compliance documentation
• Location-based time verification for work sites
• Managing employee time-off requests and approvals

3. Prohibited Uses

You may NOT use the Software for:

• Any illegal or unauthorized purposes
• Circumventing or disabling security features
• Reverse engineering, decompiling, or disassembling the Software
• Distributing, sublicensing, or transferring the Software to third parties
• Creating derivative works based on the Software
• Using the Software to violate any applicable laws or regulations

4. Data and Privacy

Your use of the Software is subject to our Privacy Policy, which is incorporated by reference into this agreement. By using the Software, you consent to the collection, use, and disclosure of information as described in our Privacy Policy.

5. Location Services

The Software uses GPS location services to verify work locations and ensure accurate time tracking. By using the Software, you consent to the collection and use of location data for these purposes. You may disable location services in your device settings, but this may limit the Software's functionality.

6. Intellectual Property

The Software and all related materials, including but not limited to text, graphics, logos, and software code, are the property of Greg Martins Oji MD Inc and are protected by copyright and other intellectual property laws. This agreement does not grant you any ownership rights in the Software.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREG MARTINS OJI MD INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SOFTWARE.

9. Termination

This license is effective until terminated. We may terminate this license immediately if you breach any terms of this agreement. Upon termination, you must cease all use of the Software and delete all copies from your devices.

10. Updates and Modifications

We may provide updates, modifications, or new versions of the Software. Your continued use of the Software after such updates constitutes acceptance of any new terms that may apply.

11. Compliance with Laws

You agree to use the Software in compliance with all applicable local, state, national, and international laws and regulations, including but not limited to labor laws, privacy laws, and employment regulations.

12. Severability

If any provision of this agreement is found to be unenforceable or invalid, the remaining provisions will continue to be valid and enforceable.

13. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
